Compliance and Regulatory Counsel The candidate will research, analyze and provide advice regarding regulatory matters in the HVAC, trade services, and home service contract industry. Will assist in acquisitions and the integration of newly acquired entities reviewing state rules, regulations and compliance materials with a focus on identifying and resolving contractual matters, handling applicable regulatory issues and representing the company before regulators in connection with complaints, acquisition matters and other regulatory issues. Provide M&A transactions support, including working with the Deputy General Counsel on deal structure and terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution. Ensure successful integration of newly acquired entities. Advise on the rules and regulations, and act as point of contact for regulatory inquiries, related to the plumbing, HVAC, and electrical business. Maintain/track license renewals helping to oversee a paralegal. Assist with corporate governance matters including the review, drafting, and administration of corporate policies and procedures for the plumbing, HVAC, and electrical business. Assist the Senior Marketing Counsel to review marketing materials for compliance with trade licensing rules. Audit compliance with all of the above as part of a rotating annual audit plan. Help manage one or more paralegals/filing clerks. Should have a Bachelor's degree with a J.D. degree. Must have 2-3 years of experience with strong legal analysis and research skills.
