Senior ASD Corporate Healthcare Counsel RESPONSIBILITIES: Support the Ambulatory Surgery Division, a group of approximately 140 surgery centers majority owned and operated in partnership with physician partners. Oversight and management of all legal issues related to corporate governance and partnership matters. Respond to various HCA corporate requests, as needed (i.e., due diligence requests, corporate structure inquiries; corporate change memo). Partnership transaction review (purchases; sales; transfers; securities analysis; regulatory analysis). Regulatory matters (safe harbor compliance; ongoing review of regulatory policies and guidelines. Partnership denovo transactions (including syndications and legacy hospital partnership and syndication matters). development matters (acquisition and divestitures). Partnership education matters (quarterly administrator training; presentations; preparation of training materials). corporate matters (amendments to governing documents; structural transactions e.g. mergers, consolidations, and dissolutions; provide day-to-day guidance to operators on corporate governance issues; intercompany loans; ongoing review and update of form governing documents). Partnership litigation matters related to physician ownership.
Qualifications: JD Degree is required for this position. 10 years of experience will be needed.
