Corporate Attorney The candidate will Draft, negotiate, and manage business-to-business SaaS contracts and other commercial agreements, such as vendor and partner agreements. Negotiate data privacy and security requirements impactings technology. Support Sales team to close new opportunities by negotiating non-standard agreements efficiently; communicate openly with Sales team on deal structure and contract negotiations. Ability to balance legal and business risk during negotiations. Primary contact for drafting and implementing new and updated agreement templates. Support contract administrator with vendor management. Work closely with internal (Sales; Executive Management) and external customers related to contracts; respond to internal contract inquiries and provide internal business partners contract details. Review and advise on non-standard terms to ensure compliance with company and regulatory requirements. Review escalated Nondisclosure Agreements (NDAs) negotiations. Assist in the management of contract documentation flow, approvals, and reporting consistent with internal processes. Conduct training of personnel on various legal and compliance topics. Research, evaluate and advise management on recent or prospective changes in laws and regulations. Counsel on applicable laws and risk mitigation strategies.
The candidate should have 3+ years of professional experience in-house with a corporation. Must have Juris Doctor degree from an accredited law school and current, active Georgia Bar license. Practical experience in SaaS licensing negotiations with a solid knowledge of commercial and contract law and revenue recognition principles; knowledge of complex legal issues in technology contractsar. Must be Proficient in handling topics such as privacy, security, and data protection in the commercial contract context. Passion for technology, closing deals and supporting Sales are required. Ability to coordinate effectively with different teams within the organization and gain trust and confidence with personnel at different levels are required. Strong grasp of business environment and commitment to understanding technology; provide legal as well as practical advice within the appropriate business context are required. Excellent analytical and critical-thinking skills are required. Strong communication skills, both written and verbal, at any level of an organization are essential. Excellent organizational skills; highly detail-oriented are essential. Must be customer focused and possess: ability to accurately document and report findings to a limited audience are essential. Ability to work independently and prioritize multiple, often competing deliverables while managing expectations and meeting deadlines are required. Proficient computer skills, Microsoft Office Suite (Word and Excel) are needed.
