Global Chief Counsel, Corporate Law Responsibilities: Compliance with SEC and state securities laws, corporate governance, investor and shareholder relations, corporate transactions (including mergers and acquisitions, debt and equity financing), complex outsourcing transactions, real estate, intellectual property, and legal entity subsidiary management. Responsible for leading strategic engagement with the Aon plc Board of Directors including oversight/preparation of agendas, materials, and minutes for Board and Committee meetings, with an emphasis placed on synthesizing information so that key points are clearly presented in understandable format and ensuring compliance with applicable governance requirements. Responsible for compliance with US & UK corporate laws and applicable rules and regulations of the NYSE. Provide legal support for execution of global cash management, liquidity and capital deployment strategies, including credit facilities, bond offering, share repurchases, pension plan contributions, and compliance with investment guidelines. Interact with senior level executives in business development, audit, treasury, controllership, tax, government relations, investor relations and Finance functions.

Requirements: Licensed in good standing to practice law in the State of Illinois. 15+ years relevant experience at large law firm or as in-house counsel in a global organization as a Deputy General Counsel with direct dealings with a public company Board of Directors. Practice experience in M&A, corporate finance, securities and SEC reporting. Experience building collaborative Relationships: Builds relationships based on trust and respect. Promotes the inclusion of diverse knowledge, skills, and experiences to achieve results. Ability to lead cross-functionally in a matrix environment, obtain buy-in and drive cross-functional processes, with the ability to work independently and collaboratively in a team-oriented environment. Excellence in Execution: Proactively seeks ways to improve professional and organizational effectiveness to meet current and future business needs. Learns equally from successes and failures. Excellent analytical skills and versatility in solving and managing legal issues. Ability to multitask, prioritize workload and competing priorities. Strong attention to detail and organizational skills. Demonstrated organization, facilitation, communication and presentation skills to a wide spectrum of audiences. Excellent business and legal judgment. Ability to exercise the highest ethical standards and prudent, risk-based business decision making. Ability to understand complex legal requirements and create effective solutions. Demonstrated ability to lead and execute across a range of business areas and functions with differing issues, interests and risks. Strong legal and analytical skills with a creative mind set and a demonstrated ability to work on time-sensitive projects. Ability to gather facts from various sources and take initiative to get information that is not provided. Qualities such as integrity, professionalism, leadership, judgment, initiative, follow-through, strong work ethic, reliability, strategic thinking, ability to execute flawlessly, ability to work independently, relationship skills and respect for others.
