Senior Counsel, Vendor and Commercial Contracts The candidate reports risks that are identified to the appropriate team and/or management. Manages, monitors and reports risks within the scope of own work area, to include Information Security risks. Leads negotiations relating to IP and services contracts, vendors and other strategic partnerships. Drafts, reviews, and negotiates a broad range of contracts, including technology agreements, services agreements, NDA s, marketing and branding contracts, and leases. Works with various departments during contract negotiations with vendors, identifies business and legal issues. Provides appropriate recommendations for legal issues. Creates and manages approval guidelines to assist internal stakeholders in making informed decisions, and to secure appropriate approvals. Manages and instructs external legal counsel for various legal and vendor contract matters. Advises on privacy and other legal and regulatory issues impacting the payments industry and services provided to credit unions. Develops standards for vendor contracts, including templates and accepted language or provisions. Provides legal advice on laws and regulations relating to firm s services. Collaborates closely with Compliance, Enterprise Risk, and Information Security to ensure that products and services are provided in accordance with applicable laws and regulations. Assists in the development of internal policies, procedures, and best practices for vendors. Provides contract-related guidance to internal stakeholders. Oversees other legal matters and projects, as assigned. Responsible for reporting risks that are identified to the appropriate team and/or management. Additionally, responsible for managing, monitoring and reporting risks within the scope of work area, to include Information Security risks.

The candidate should be a Graduate of an accredited law school (JD) with 7-10 years of corporate legal practice or in-house work. Admission (and active license) to one State Bar is needed. Experience negotiating complex technology and payments transactions is essential. Knowledge of the payment and financial services industry and applicable regulations is required. Thorough understanding of contract law and principles is needed. Must be proficient PC knowledge and the use of standard software packages, such as Microsoft Word, Excel, and PowerPoint. Excellent verbal and written communication skills, as well as presentation skills is essential. Effective interpersonal skills, and ability to convey complex information in a way that others can readily follow is required. Should have excellent planning and organizational skills, as well as ability to prioritize workload using good judgment, while balancing the need for an immediate response with accuracy and completeness of information. Strong negotiation, partnership, and advocacy skills is needed.
