Commercial Contracts Attorney Duties: Serves as a primary organizational contact during contract negotiations. Escalates non-standard or complex matters to appropriate internal resources. Engages relevant stakeholders in negotiation decisions involving legal or regulatory requirements, financial or customer relations goals, technical or security issues, and contract standards. Reviews, drafts (from scratch or from a form), revises, negotiates, and manages software subscription and licensing contracts, SOWs, amendments, business associate agreements, data transfer agreements, vendor agreements, NDAs, and other commercial agreements. Provides cradle to grave legal advice concerning contracts, including advising on complex proposals, negotiating terms, managing contract changes, identifying conflicts and/or desired changes requiring resolution at contract renewal, and advising on any contractual issues that may arise during offboarding. Supports the performance of existing contracts by advising IMs internal clients on contract interpretation and obligations. Evaluates the legal consequences of contract terms, including the likely outcome should a dispute arise. Owns design and use of contract management repository for purposes of managing workflow, tracking contracts, providing metrics, and retaining accurate contract records. Tracks deadlines and deliverables and communicates on an ongoing basis with business partners and internal clients about contractual issues. Ensures necessary internal approvals from management have been obtained and documented. Ensures accuracy and appropriateness of agreements text and attachments. Works cross-functionally with Legal, Accounting/Finance, Sales, Account Management, Product, Compliance, and Information Security team members in developing and leading process and risk mitigation improvements within the contracts lifecycle. Contributes thoughtfully to streamlining and automating contracting processes and the development and updating of standard contract templates, forms, and playbooks. Trains and advises sales team members on the preparation, negotiation, and execution of customer agreements. Reviews other legal agreements on an ad-hoc basis in addition to commercial contracts. Works on additional projects and initiatives as directed by the General Counsel/VP of Compliance.

Qualifications: JD Degree with strong academic credentials, and member in good standing of the GA Bar. 4-8 years of post-graduation legal experience, with meaningful time dedicated to reviewing, drafting, and negotiating legal and commercial contracts, ideally at both a law firm and in-house at a software company. Familiarity with SAAS subscription model required. Healthcare and/or healthcare IT experience strongly preferred. Experience with contract management software (Salesforce) and DocuSign is a plus. Experience developing templates and implementing processes within the contracts lifecycle preferred. Ability to think creatively, devise solutions to challenging problems, and effectively drive issues to closure. Superb legal drafting skills, with affinity for using language to achieve compromise. Exceptional written and verbal communication skills, interpersonal and collaborative skills, and the ability to effectively communicate risk-related concepts and legal guidance on complex issues to both technical and nontechnical audiences. Meticulous attention to detail is crucial. Proven ability to provide entrepreneurial, quick-thinking, pragmatic, business-oriented advice and to make clear recommendations that appropriately balance risks and business reward. Strong organization and project management skills, with experience in successfully tracking and managing contracting projects through to signature in collaboration with multiple functional areas. Must thrive in a fast-paced, innovative environment with the ability to manage numerous projects simultaneously, under deadline pressure and with limited supervision. Appropriately triage a heavy workflow, setting appropriate priorities with clients and delivering results efficiently. Desire to accelerate the business by providing responsive, collaborative, solutions-oriented contract support. Ability to quickly establish credibility and trust with team members and maintain strong, vibrant internal and external client relationships at all levels. Equally adept at working independently and collaborating with others; self-motivation to achieve business goals and willingness to take on responsibility and drive results is a must. Must be energetic, driven, and committed to delivering superior client services. Not above rolling up your sleeves to contribute in solving any problem across the company. Sound business judgment, including understanding when escalation is needed. Good sense of humor, disdain for drama, ability to remain calm under pressure, eagerness to learn new things. Unquestioned integrity and credibility.
