Assistant General Counsel - Intellectual Property

Assistant General Counsel - Intellectual Property The candidate will provide responsibilities include: Draft and negotiate various technology agreements including software license agreements, maintenance agreements, SaaS agreements, trial agreements, professional services agreements, cloud agreements, and data license agreements from both a customer and vendor's perspective. Counsel on the legal issues associated with the implementation and use of technology products in connection with the company's existing products and services; Guide the firm on critical legal issues relating to the protection of KPMG intellectual property. Coordinate with other departments and specialists regarding risk management, privacy, litigation, compliance, information security, and technology development. Work with business personnel to identify and analyze legal issues associated with cutting edge technologies such as block chain, robotics, and artificial intelligence. Advise on the transfer and sharing of intellectual property throughout the KPMG network, including drafting appropriate agreements. Work on cross-functional teams to provide technology and IP advice with respect to litigation matters, risks to the firm, M&A transactions and KPMG policies.

The candidate must have 6+ years of legal experience with a focus in technology, intellectual property, procurement, or privacy issues. Must have Juris Doctor or LLM degree from an accredited law school, and licensed to practice law in the U.S. Must have experience advising on various legal risks and obligations relating to technology and intellectual property matters including drafting and negotiating technology agreements, identifying IP issues in M&A transactions, counseling clients on the risks associated with the development of technology, and reviewing open source licenses. Must have familiarity with patents, trademarks, trade secrets and copyrights.
