Senior Corporate Counsel The candidate renders legal advice and recommendations for action to executives and management regarding complex contractual liability, risk and other matters which have or may have a significant impact on business activities and operations. Combines a knowledge of design/construction industry contracts both public sector (federal/state/local) and private sector and sound business acumen and knowledge of the business objectives as they relate to the matter at hand. Operates under general direction of General Counsel. Generates company standard contracts and related documents, as needed, for upstream, downstream and horizontal contractual relationships. Trains professional staff in areas of responsibility. Handles contractual risk management of liability, insurance and other key terms for complex project delivery, including design-build, public-private partnerships, construction management at risk, and construction management agency. Understands professional practice licensure requirements for design professionals, general contractors and subcontractors. Advises on insurance and bonding as relates to design and construction projects. Negotiates matters of some complexity. Consults with outside legal counsel and advises leadership on legal strategies and options. Manages outside legal counsel services effectively and efficiently, including the scope, schedule and fees for each matter. Maintains a comprehensive network of professional relationships in multiple jurisdictions and legal areas of expertise. Must align with and adapt to company culture. Gathers relevant case related information, including researching applicable legal authority, and capable of using multiple sources and methods to accomplish the assigned legal and business objectives. Supports the Legal group in one or more other areas beyond contracts, as assigned, such as corporate governance, employment, compliance, litigation management and mergers and acquisitions, with growth in responsibility in other areas expected. Produces policies, procedures and standards for compliance with requisite laws, as directed by General Counsel. Assists other corporate services groups, Contracts in particular, in developing solutions to problems presented.
The candidate should have 10+ years of relevant experience in a combination of law firm and corporate settings. Must be conversant with construction industry contracts (i.e., Consensus Documents, DBIA, EJCDC, AIA, AGC) for public and private sector services for both design and construction. Experience in areas beyond contracts, such as compliance, employment law, litigation management, corporate governance or mergers and acquisitions is essential. Superior communications skills is needed. Must be member of the Bar in good standing in at least one state. Should possess deep knowledge and proficiency with design/construction industry contracts for both public and private sector projects, including federal procurement. Must possess deep knowledge of contractual risk and liability issues and how to address them. Should possess strong industry knowledge and network.
