Corporate Counsel Attorney The candidate reports directly to the General Counsel. Specific responsibilities will include: Drafting and updating contract templates, such as confidentiality agreements, employment agreements and related documents, vendor and other third-party agreements. Advising on employee-related legal matters in a manner that ensures compliance with applicable regulations and adheres to company Core Values. Assisting with the management of company clinic lease portfolio including (i) advising the Clinic Development team regarding critical legal issues related to leases, (ii) assisting with lease negotiations, (iii) managing a database that tracks upcoming lease term expirations and other relevant information, and (iv) drafting and negotiating lease amendments as required. Supporting the General Counsel in legal and compliance matters for franchise offering, including annual state registrations, negotiation of new and renewal franchise agreements, and management of franchisee non-compliance. Managing and updating a database of legal entity corporate documents and ensuring required filings are completed in a timely manner. Assisting with ethics and compliance programs, including the drafting and updating of corporate policies and SOPs. Providing training and education to various company business units regarding legal updates, best practices, and risk mitigation. Assisting the Records Management team with gathering documents and information to respond to subpoenas and litigation discovery requests.
The candidate should have Law degree from an accredited law school and admission to the bar and in good standing in at least one jurisdiction in the United States. Must have 1 year of work experience in a law firm or in-house counsel. Must have the ability to prioritize multiple tasks and projects while working under deadlines. Ability to respond quickly and accurately to requests/inquiries from all levels of management and departments within company. Experience in the healthcare industry and associated regulations (e.g. HIPAA) is preferred.
