Associate General Counsel - Employment Law and Litigation Management Duties: Independently identifies and resolves legal and policy issues. Solves problems by gathering, assembling and examining available, obtainable facts or evidence and determining the proper legal and business analytical approach to reach the proper solution from often diverse and not necessarily obvious alternatives. Provides counseling, advice, and day-to-day support for Human Resources Department. Collaborates with Human Resources team to develop and implement employment policies (including hiring practices, performance management, employee relations, internal investigations, terminations, leaves of absence, accommodations, wage and hour, compensation, and benefits) to ensure best practices and compliance with applicable laws and regulations. Partners with cross-functional teams, to provide strategic, business-oriented employment law guidance for successful execution of company initiatives. Collaborates with the Human Resources team to generate and implement training on HR and employment law topics. Partners with Human Resources team to conduct workplace investigations. Investigates and responds to federal and state administrative complaints (including EEOC and local agency charges). Manages workplace litigation related to employment matters. Supports merger and acquisition transactions and related integration of employees. Drafts and revises employment-related agreements (including executive employment agreements, offer letters, confidentiality and intellectual property agreements, and separation agreements. Prepares, reviews and negotiates Bank contracts, requests for proposals and other legal documents, including vendor agreements and other business contracts. May act as contract liaison between the Bank, customers and vendors, including participation in pre-contract discussions, contract negotiations and contract changes. Ensures that final contracts are in compliance with legal, regulatory and Bank policies and standards. Monitors the contract process to ensure timely compliance with the Bank s contractual guidelines, satisfaction of approved in-house client specifications, and adherence to legal and Bank policies and standards. Reviews, approves and tracks all outside counsel invoices. Provides legal advice and counsel with respect to the implementation of policies and procedures to ensure Bank compliance with regulations and regulatory reporting requirements. May participate in the investigation and resolution of compliance concerns and respond to questions from internal sources and external sources such as outside counsel and regulatory agencies. Responds to inquiries from various departments regarding operational matters (e.g., regulatory compliance, purchase agreements, acquisitions, divestitures, employment-related contracts). Develops effective relationships. Establishes attorney-client privilege with in-house clients on business matters. Works with the various departments to develop and modify practices and procedures to conform with legal requirements. May represent the Bank in civic and community events to enhance the reputation of Bank and expand business opportunities.
Requirements: JD Degree and a member in good standing of the California Bar. Member in good standing of the California Bar. 7+ years experience at a law firm and/or in-house bank legal department, with extensive direct work as employment law counsel, including extensive experience handling federal and state administrative complaints, and litigation. Deep knowledge of employment law and its application in a dynamic corporate employer environment.
