Corporate Counsel - Technology The candidate will provide legal counsel, support, and representation to the Company in technology-related legal areas. This role operates within a small team of three lawyers and a paralegal, supporting the Companys global technology function, including information security. Coordination with procurement, finance, and privacy functions is regularly required. The role is primarily transactional, with heavy emphasis on complex transactions with vendors to deploy state-of-the-art technology services at the firm-branded hotels globally. Draft, negotiate, and review/modify legal documents to meet Company standards/objectives. Develop legal solutions and alternatives to execute the Companys plans. Counsel management on the legal aspects of business issues in a manner that protects the Companys best interests and actively guide management in evaluating legal impact and risks and explore alternative solutions that will minimize legal risk, optimize the Companys returns, and integrate the various individual department needs to maximize the Companys overall benefit. Manage outside counsel and other external resources as appropriate to ensure the Company is represented in a cost efficient and effective manner. Develop strategic direction and alternatives on legal matters. Provide status reports on pending legal matters, advice in course of action for department/division legal issues. Direct and oversee internal and external team members to ensure performance is measured and communicated, administrative matters are completed timely, internal and external budgets are developed, monitored and met, and profit and loss statements and other tracking tools are reviewed and used to measure performance on an ongoing basis. Develop and maintain a good working relationship in all client areas. Represent management in dealings with external parties in a manner that balances business goals while providing appropriate legal protection and alternative solutions to achieve company objectives. Coordinate and work with other areas of Legal Department on related matters to ensure efficient resolution of issues. Train and educate employees on germane legal matters as preventive legal measures. Keep current on legal developments in all substantive technology-related areas; and identify, review, understand and, as appropriate, modify internal contract templates, processes, systems and documents relevant to client areas.

The candidate should have a Bachelor's degree and a Juris Doctor degree. Must be a member of the State Bar in good standing (or a member of another States Bar with the ability to become a member of the Bar). 4-10 years of experience in the practice of law, with first-hand experience in diverse technology-related transactions and other projects is highly regarded. Should have experience in cyber security, international, and/or payment systems matters. Must have demonstrated ability in drafting and negotiating a variety of legal contracts and documents, including technology-related software, hardware, systems, SaaS, and similar agreements. Demonstrated analytical, research, and presentation skills are necessary. Effective verbal and written communication skills are preferable.
