Real Estate Counsel The candidate will provide legal advice, guidance, and services to various business teams in the Company in all phases of a broad range of real estate transactions, including department store, anchor and mixed-use real estate transactions, development projects, dispositions, and other real estate matters. Provides legal services for real estate transactions with department stores and select other anchors, mixed-use development lease transactions, and shopping center and peripheral land/pad sale transactions. Legal services include negotiation and preparation of relevant transaction documents (such as Letters of Intent, REAs, Purchase and Sale Agreements, Separate/Supplemental Agreements, Exchange Agreements, Leases, Letter Agreements and Approval Letters, License Agreements, and Amendments); handling of escrows and closings; monitoring due diligence activities; providing advice to the business teams in handled transactions; and coordinating retention and supervision of outside counsel where required. Provides legal services for real estate development projects. Legal services include advising and assisting development team with processing of land subdivision approvals; negotiation and preparation of relevant documents (such as Letters of Intent, Development Management Agreements with project ownership JVs, Development Agreements and other land use related agreements with public agencies, Development Agreements with private parties, REAs, CC&Rs and related agreements, Easement Agreements, Licenses and other real estate agreements); handling of escrows and closings; and coordinating retention and supervision of outside counsel where required. Coordinates with Company asset management and financing teams to secure venture partner and lender approval for handled transactional documents as required; and working directly with joint venture partners. Provides legal advice and assistance to company personnel in the development, asset management, operations, and other departments in other miscellaneous real estate matters, as required. Legal review of key Company real estate documents and title documents; providing legal advice and support to development, management, asset management, leasing, and other Company real estate functions; negotiation and preparation of easements, licenses and other real estate agreements; and supporting negotiated condemnation matters. Supervises and works with outside counsel, as needed. All other duties as assigned.

The candidate should have a Law degree from an American Bar Association accredited law school. Admitted to practice law, preferably in California. Must satisfy Minimum Continuing Legal Education (MCLE) requirements to maintain active license to practice law. 5 to 7 years of law firm experience handling real estate transactional matters. Experience with retail leasing and purchase and sale transactions preferred. Experience with regional mall transactions and mixed use projects a plus. Excellent PC skills including Outlook and Microsoft Word.
