Corporate/Transaction Attorney

Corporate/Transaction Attorney The candidate reports to RMITs General Counsel and will have exposure to RMITs executive management team. A successful candidate must be detail-oriented and have the ability to work independently while managing multiple priorities and deadlines. Work with RMITs general counsel and secretary on corporate transactions and corporate governance matters. Manage the legal aspects of RMITs growing private securitization practice. Negotiate and draft complex commercial contracts, including whole loan and mortgage servicing rights purchase and sale agreements, engagement letters, certificate purchase agreements, custodial agreements, mortgage loan servicing agreements, and warehouse and master repurchase and other financing facilities. Assist with regulatory compliance and contract compliance related to certain business initiatives. Interface directly and intelligently with Senior Managers, Executive Team regarding company transactions, as well as on risk management and compliance initiatives. Lead, or participate in, operating risk and control initiatives as assigned. The candidate must have 5+ years of relevant experience at a law firm or in house with significant mortgage finance practice. Experience working at or for a mortgage company is preferred. Should have JD degree from accredited law school and bar admission in good standing in at least one state. Proficiency with Microsoft Office Suite (Outlook, Word, and Excel) required. Should have proven ability to develop solutions to complex problems, including problems that are analytical, process, and/or data in nature. Must have demonstrated ability to influence business partners so that the appropriate business outcomes are achieved. Should have excellent communication and writing skills; strong organizational and time management skills. Must have ability to work independently as well as a team setting; ability to cross-train across legal and compliance substantive areas. Should have ability to interpret and apply applicable laws and regulations.
