Corporate Counsel - Procurement And Partnerships The candidate will involve in drafting, negotiating, and advising on a range of procurement arrangements (including software, facilities, professional advisory, and marketing relationships) and supporting the supplier contracting process. Includes legal guidance on partnership initiatives. The role reports to the General Counsel. Responsibilities: Support business teams in structuring transactions, and drafting and negotiating agreements with vendors, including all forms of procurement, service, and technology agreements and provide advice on managing associated risks and strengthening relationships with suppliers. Proactively manage supplier relationships, software renewals and reduce the time that the business must spend on procurement negotiation and approvals. Work closely with the General Counsel and cross-functional teams to shape and improve Company procurement policies and procedures to enable both legal and business functions to scale effectively. Provide procurement and competition law advice - advising on compliance with procurement obligations, and challenges brought under procurement law. Provide legal advice to business teams regarding partnership and marketplace relationships. Assist in updating procurement templates, drafting corporate policies and processes, ensuring contractual requirements are adhered to, and developing training materials on relevant topics related to company procurement processes. Conduct continuous supplier evaluations and perform risk management to ensure goods and services continue to meet contractual standards and timetables. Work closely with Company privacy counsel to ensure a continuous flow of information regarding suppliers with access to personal information. Assist legal team with overflow day-to-day commercial transactional work, including SaaS subscription and other commercial agreements. Requirements: Undergraduate and Juris Doctor from highly regarded schools and member of a state bar. 5+ years combined legal experience in a software company, procurement function, and/or in a law firm counseling rapid-growth technology companies. Experience creating and scaling processes, policies, and systems to help streamline, simplify, and automate procurement for a rapidly growing company. Strong transactional experience negotiating customer, vendor and partnership agreements. Demonstrated experience providing practical, actionable advice that balances legal risk and business impact in a dynamic environment, and an ability to communicate risks and impact to business partners in plain English. Preferred Qualifications: Expertise with subscription and/or SaaS technology industry. Experience with Coupa or other procurement technologies.
