Counsel, Commercial Contracts and Operations The candidate drafts, reviews, advises on, and negotiates a variety of commercial contracts, including software and data licenses, SaaS, master services, professional services, marketing agreements and online terms and conditions. Supports firm National Advertising Platforms with sales agreements and advertising inventory agreements. Partners with internal business clients to develop and execute action plans to resolve issues presented in contract negotiations. Provides legal counsel and advice on a broad range of day-to-day operational legal topics, including commercial transactions, advertising, endorsement, promotions, events and contests, product strategy, and general business matters. Coordinates with subject matter experts, both in legal and elsewhere in the company (e.g., procurement, tax, and the field), to efficiently provide legal services as assigned by the Assistant General Counsel. Assists with the development and implementation of contract templates and procedures for operational efficiency. Develops strong relationships with internal contacts and clients, including, but not limited to: procurement, IT, tax, finance, field personnel, other legal team members and other appropriate departments to provide superior service. Responsible for identifying and helping to address difficult problems that may not be solved using existing practices and procedures; may have to respond and adapt to changing conditions or circumstances, requiring enterprise alignment and new approaches. Responsible for effectively managing external advisers. J.D. from an accredited law school and admission to the State Bar in which the attorney resides or eligibility to practice as registered in-house counsel essential. 3+ years of legal experience as a practicing attorney, comprised of law firm and/or in-house counsel experience required. Demonstrate excellent written, verbal and listening skills required. Proven experience and expertise in providing legal counsel with commercial contracts, preferably including technology, data, digital and marketing services required. Experience with media companies, privacy, insurance provisions, marketing and advertising is a plus. Should have ability to work collaboratively as a member of a diverse team and partner with subject matter experts and other in-house attorneys to provide a seamless client experience resolve legal issues. Business-minded, with strong initiative and excellent project management, collaboration, and problem-solving skills required. Should have ability to travel as necessary, likely less than 25% of the time. Should have strong communication and problem-solving skills.
