Corporate Counsel Responsibilities: Assisting with the continuous improvement and maintenance of standard contract templates. Serving as the legal point of contact providing contract support to the internal sales teams (including RFPs). Reviewing and negotiating commercial agreements with clients, vendors and partners, including non-disclosure agreements, master services agreements, license agreements, service-level agreements, etc.. Preparing, implementing and refining legal forms, processes and procedures. Handling general corporate housekeeping for the company and its affiliates, in various jurisdictions. Providing legal support, as needed, on a variety of other corporate and commercial matters.
Qualifications: JD degree from an accredited American law school. Admitted to the Bar and in good standing or otherwise authorized to practice law in Missouri (California or New York bar a plus). 4 years of relevant in-house experience in a legal department, preferably working with a technology based or SaaS company. Direct experience drafting, reviewing and negotiating commercial agreements. Broad experience with general corporate housekeeping, including international expansion and management of affiliates. Excellent business and legal judgment. Strong attention to detail and organizational skills (e.g. ability to multitask, prioritize workload and competing priorities). Ability to work independently while being a team player with a positive attitude. Genuine interest in learning and exploring other areas of the law, in a variety of jurisdictions.
