Legal Counsel, Securities & Compliance The candidate will assist in preparing and reviewing SEC filings, including 20-Fs, 6-Ks and S-8s, and advise and collaborate with our investor relations, finance and communications teams in the preparation of earnings releases and other announcements, Will ensure compliance with SEC and NYSE rules and regulations. Will support on capital markets and other corporate transactions. Will participate in the design, development, management and implementation of ethics and compliance policies, procedures, programs and systems, including insider trading compliance and the oversight of 10b5-1 trading plans. Will participate in the creation and rollout of global ethics and compliance trainings and communications. Will work closely with our internal audit, SOX, and risk teams and advise on public company compliance matters. Will support the VP of Legal (North America) Compliance, as needed on a wide range of matters, including litigation and commercial contracts. Will work alongside our wider international legal team sitting in London, Porto, Lisbon, Shanghai, Moscow and Milan to align North American practices to our global standards and rollout global legal and compliance initiatives in North America. Will enable the business by creating and maintaining templates, procedures and training, as needed. Will support the integration of acquired businesses into the group. Will manage and work with external counsel, as appropriate, and assist in tracking legal spend against budget. The candidate should have 3-5 years of experience as a US securities attorney at a law firm or in-house (or a combination of the two!). Should have a JD and are admitted to the New York State bar, or another state bar and are registered to work in-house in New York. Should have demonstrated experience with US securities laws and preparation of SEC filings. Experience advising Foreign Private Issuers is a plus. Should have a positive and approachable demeanor and have exceptional interpersonal, communication and collaboration skills. Should have an excellent ability to grasp legal and business issues quickly, balance risks, exercise sound judgment and provide creative, practical, constructive and timely counsel in a growing, dynamic, and fast-paced business environment. Should be a team player who is driven, forward thinking, innovative and agile, with commercial acumen. Should have a strong work ethic and superior attention to detail. Should have impeccable judgement and unimpeachable integrity.
