Associate General Counsel The candidate will provide legal counsel and support on securities, NYSE, corporate governance and Board matters, financing, merger and acquisition, investor and related activities. Ability to join fast-moving, high-level team at a critical juncture in BWXT's growth, as we solve some of the world's most pressing problems with safe and effective nuclear solutions for national security, clean energy, environmental remediation, nuclear medicine and space exploration. Extensive participation in preparation of SEC filings, including registration statements, Forms 10-K, 10-Q, 8-K and SD, proxy statement and Section 16 reporting. Advise on compliance with securities-related regulatory matters, including NYSE-listing standards, SEC regulations, Sarbanes-Oxley Act, Dodd-Frank Act and stock plan matters. Provide legal support on corporate finance matters, including revolving credit agreements, indentures, note offerings and rating agency matters. Assist in strategic transactions, such as mergers, acquisitions, divestitures and reorganizations of business entities and units, including due diligence, preparation of nondisclosure, purchase and other transaction agreements, and managing closing process and regulatory approvals. Assist with corporate governance matters, including preparation of board and committee materials and Delaware corporate law compliance. Manage subsidiary corporate governance matters, including preparation of board meetings and maintenance of corporate qualifications and subsidiary database. Works closely with finance, internal audit, corporate development and investor relations to ensure compliance with the company's disclosure policies and procedures. Provide guidance to senior executives and managers on all ethics, business conduct and compliance matters and their impact on organizational effectiveness and business success. Assist in the preparation of comprehensive reports as required in accordance with the charter for the company's ethics and compliance program. Supervise relevant staff and outside counsel on foregoing matters. Perform advanced legal and other research. Ability to achieve significant influence and outcomes at the highest levels of this fast-moving, entrepreneurial company. Law degree from an accredited law school and member in good standing of VA or other state bar with ability to qualify for VA Corporate counsel license requirements. 5+ years of experience with a law firm and/or corporation with substantial public company securities experience with Securities Act of 1933, Securities Registration Act of 1934, Regulations S-K, S-X, FD, G, et al., Delaware corporate law and NYSE listing requirements.
