Contracts Attorney The candidate will be reporting directly into the Chief Financial Officer. Will take ownership of business and legal advice pertaining to all Software as a Service contract transactions. Provide first-line legal and regulatory advice relating to commercial agreements to in-house sales and business teams. Review, negotiate and approve important business and legal issues pertaining to other agreements such as commercial contracts, RFQ s, NDA s, vendor agreements, service agreements, subcontracts, consulting agreements, licenses and certifications, as well as other legal agreements. Be responsible for managing client contracts and contract negotiations (including reviewing, drafting, redlining) from receipt of the contract from the business unit through to deal closure subject to final approval by the CFO or lead outside counsel. Develop processes, playbooks, contract templates, and toolkits to aid in efficiency. Help ensure proper protocols are used across HR, and Sales evolving with the company on its policies as products, and requirements change. Provide legal guidance regarding employment issues, Intellectual Property, Patents, and Trademarks as needed. Should have experience working in fast-paced sales environments and are an energetic collaborator that enjoys working with Sales Directors and cross-departmentally as a strategic advisor on matters of intellectual property, compliance, and vendor agreements. Should be a skilled communicator able to navigate negotiations with customers or vendors directly and independently. Experience with Subscription Enterprise SaaS Contracts. Law degree from a University and a current license with 3-5 years relevant legal experience required. Experience negotiating and revising customer contracts in a fast-paced sales environment required. Familiarity with Intellectual Property and Vendor Agreements required.
