Corporate Counsel/Senior Corporate Counsel Duties: Provide legal support to Treasury Department for a wide range of capital markets transactions, including public asset-backed securitizations, warehouse funding facilities, unsecured debt transactions, derivative instruments, share repurchase agreements and other related matters. Provide the Treasury Department with strategic legal advice on complex and novel issues, and day-to-day advice on the impact of changes in laws, regulations and guidance on existing agreements. Provide advice on insurance and commercial contracting matters. Assist in the management of a senior paralegal and administrative assistant. Provide legal support for the Company's asset-backed securitization program, including transaction planning, execution, and management. Manage formation, licensing and termination of securitization trusts and other special purpose vehicles. Provide structuring, negotiation, and drafting advice and counsel for the Company's secured and unsecured funding activities, including unsecured credit facilities, term loans, debt offerings, warehouse funding facilities, and any other debt transactions. Provide the Treasury Department with regulatory, disclosure, and compliance advice as well as guidance on existing agreements. Provide legal support to share repurchase and derivatives programs, including negotiating agreements and advising on relevant regulatory developments. Provide advice and counsel for the Company's D&O insurance policy and other insurance program issues, including the governance of the Company's captive insurance entity. Review, draft, and negotiate commercial contracts for various client groups, as needed. Assist in management of relationships with outside counsel. Lead special projects on an as needed basis. Assist with managing a senior paralegal and an administrative assistant associate. Qualifications: Law degree. Member in good standing with the bar of a U.S. jurisdiction. 5+ years of legal experience. Strong written and verbal communication skills to effectively draft agreements and communicate legal developments and advice to associates, all levels of management, outside counsel, opposing counsel, customers, Board members and regulatory authorities. Strong analytical and reasoning skills required in connection with researching and analyzing the law, assessing impact on business processes, and making recommendations to business units in order to effectively manage legal and operational risks.
