Corporate Counsel Duties: Draft, review and negotiate loan modifications, term sheets, LOIs, purchase and sale agreements, easements, listing agreements, property-level service agreements, termination/default notices, and other standard real estate documents that arise in the ordinary course of real property acquisition, ownership and management. Manage and negotiate standard business agreements, such as non-disclosure agreements, engagement letters, third party service agreements, and provide other corporate support. Be able to negotiate customary terms and highlight specific out-of-the-ordinary issues for senior legal staff. Assist senior legal staff with issues that arise on transactional real estate matters, including acquisitions, dispositions and refinancing. Support legal department's knowledge management initiatives.
Qualifications: A J.D. from an accredited law school and admittance in good standing with at least one state bar, Illinois preferred, and strong academic credentials. 1-3 years of legal experience, with specialized experience in commercial real estate transactions and corporate law. Will have experience with relevant documents and issues that arise in the ordinary course of real property ownership, as well as those arising in the context of real property acquisitions, dispositions, asset management and financing matters. A solid track record of responsibility for independently reviewing, structuring, drafting, negotiating and managing documents associated with real estate transactions and ownership. An ability to analyze, interpret, and present complex legal ideas and concepts in a clear and concise fashion. Strong organization skills, sound judgment, critical thinking, a practical and business-minded approach and good negotiation skills. An ability to engage individuals and teams to ensure timely project completion. Strong interpersonal skills and ability to communicate effectively. Able to thrive in a fast-paced, entrepreneurial environment and successfully manage competing tight deadlines. Self-motivated with a high degree of initiative. Will welcome the challenges of working in a fast-paced, entrepreneurial, professional environment where leadership and a strong work ethic are essential. Excellent interpersonal skills, communication (oral and written), organization and analytic skills are a must.
