Corporate Counsel The candidate will provide legal support and advice to the corporate lending and international private banking functions of the organization. Such advice and support to cover a broad range of cross-border credit and other international and domestic financing transactions (including commercial real estate, hospitality, trade finance/factoring, project finance and syndicated and admin agency lending), as well as review of financial services and other advisory services and corresponding products offered by the units from a transactional and regulatory perspective. Provide legal support to the corporate functions of the organization and other day-to-day matters, including contractual review and negotiation, compliance and regulatory support, risk and vendor management, work-out support etc. Interact and liaise with other firm's entities as may be necessary in accordance with the organization's processes. Interact and liaise with outside legal counsel as may be necessary in accordance with the organization's processes. Must have 6 years of experience as a practicing U.S. attorney, ideally a combination of in-house experience at an international bank or other financial services institution and at a national/regional law firm. Should have Active FL or NY bar membership; U.S. J.D. Must have ability to speak, write and read English and Spanish fluently. Preferred financing experience on behalf of financial institutions, including bilateral, syndicated, participated, trade finance and factoring transactions. Significant expertise with respect to the international banking services and products offered by financial institutions. Prior experience in reviewing and managing vendor contracts and compliance and litigation support. Should have knowledge in BSA/AML issues. Must have excellent verbal, written and interpersonal communication skills. Should have effective organizational, multi-tasking, prioritizing and management skills.
