Corporate Counsel The candidate's primary responsibility will be successfully preparing for and negotiating high value enterprise software, content and services related customer contracts in support of a large, active and demanding worldwide sales force. While this person will be joining and be backed up by a stellar team, the ideal candidate will be able to individually negotiate a steady volume of multi-million dollar contracts. He or she will have an opportunity to participate in all other aspects of an internal legal group's set of responsibilities. Drafting and negotiating complex software licensing (including SaaS) and professional services agreements. Advising on all types of software and content deployment models - on-premise, SaaS, OEM, MSP, etc. Working closely with business people and a national/international sales force and customer base. Developing relationships with key individuals to establish yourself as a trusted advisor. Leading and controlling contract negotiations with sophisticated counter-parties. Approaching problems with a pragmatic, business-minded focus. Focusing on addressing critical sources of risk and getting comfortable identifying and accepting manageable risk. Thriving in a fast paced, intense business environment. Strong knowledge of commercial contracts, revenue recognition issues, IP and business law. Willingness to collaborate on a cross-functional basis and respond quickly to urgent matters. Comfortable and confident in dealing directly with all levels of management. Preferred Areas of Proficiency: Shaping, implementing and/or improving an overall contract process. Utilizing CRM tools such as SalesForce.com. Advising on privacy/compliance issues. Sound knowledge of US government procurement laws.
The candidate should have Law degree. Should have Direct contract negotiation experience. Should have 5+ years of experience in contract management and software licensing or IT procurement (although particularly strong candidates with fewer years of experience are encouraged to apply). Should have experience in contract management and software licensing or IT procurement. Exceptional written/oral communication and interpersonal skills is needed. Should have ability to make timely decisions, draw appropriate conclusions and garner support for your position. Should be Customer and internal-client focused self-starter with the ability to prioritize effectively and work well with colleagues across businesses and geographies in a fast-paced environment.
