Contracts Manager or Associate Commercial Counsel Duties: Interacting with internal and external customers on an as needed basis, performing administrative tasks in support of the Legal Department; reviewing, revising, and in some cases negotiating a variety of commercial agreements under the direction of the Head of Legal; and conducting legal research and writing either independently or under the supervision of an attorney, as appropriate for the role. Will also be expected to provide sound, timely and useful legal advice related to commercial agreements and product improvements. Will also assist with general legal operations including the creation of SOPs and legal tools, language audits, drafting amendments, privacy by design and other compliance initiatives, and working cross-functionally on special projects. . Review, revise, and negotiate commercial contracts in accordance with company standards. Liaise with internal/external stakeholders regarding document and deliverables requests. If appropriate to the role, provide legal guidance to internal customers on commercial matters. Conduct legal research on directed topics (e.g. Privacy, Contracts, Tax, etc.). Assist Head of Legal in drafting contracts, SOWs, amendments, and exhibits templates, as well as creating SOPs, policies, legal tools, and conducting language audits. Assist in the creation of in-house presentations and legal educational materials; and performance of special cross-functional projects involving HR and Compliance. Implement and maintain department process improvements, workflows, and document controls. File documents, maintain contract management system, assist with signature process. Assist with registering the company for payment, supplier, and provider portals. Assist with legal analysis, due diligence, contract template branding.
Qualifications: For the Contracts Manager: JD Degree or L.L.M. with relevant Bachelor's degree is required, with license in 1+ jurisdiction preferred; For the Associate Commercial Counsel: JD Degree and a license to practice law in California is required. Knowledge of U.S. contract law fundamentals and legal drafting standards. Knowledge of privacy and state, federal, and foreign data protection laws. 1-3 years of experience negotiating IP licensing language related to scientific R&D (patents, and related rights). 2-5 years of experience drafting and negotiating a high volume of MSAs, CDAs, DPAs, CTAs, etc. in a jurisdiction in which licensed or under attorney supervision. Highly skilled in MS Office, G-Suite, Apple computer products, and DocuSign. Proficiency in salesforce.com or other contract management systems. Strong organizational skills: attention to detail and accuracy as well as time management. Issue-spotting, in-depth analysis, and problem-solving skills. Initiative, teamwork, and customer-service orientation are critical Confidentiality, discretion, and high privacy awareness Independent, with excellent judgment in collaborating with others and the chain of command. Strong affinity for, skill with, and ability to teach others about technology. Ability to contribute in a fast-paced, ambiguous work environment. Excellent interpersonal skills and a commitment to professionalism and collegiality. Eagerness to build legal knowledge and skills in a variety of subject matter areas. Willingness to take on novel challenges as needed to support the company's success.
