Staff Attorney-Technology Contracting and Intellectual Property The candidate as staff attorney for technology contracting and intellectual property will be responsible for all aspects of negotiation of technology contracts and supporting and maintaining the firm's intellectual property portfolio and pursuits. Responsibilities: Drafting, reviewing and negotiating a wide variety of commercial technology agreements, including US and Canadian license, cloud, SaaS and artificial intelligence agreements, proofs of concept and technology development agreements. Assist and advise business leaders and strategic sourcing team across a diverse set enterprise-wide and industry-specific tools and applications across all lines of business, including consulting, tax and assurance services,. Participate in vendor management program strategy and execution. Provide counsel and participate in strategic decision-making process with respect to contract claims, disputes, termination and vendor transition matters. Implement best practices and processes to enhance the management and protection of intellectual property. Drafting, reviewing and negotiating marketing, sponsorship and events agreements. Provide strategic guidance in trademark and other intellectual property matters. Manage trademark portfolio and applications. Support technology and intellectual property related M&A transaction and due diligence activities. Assist with updating contract templates. Coordinate and manage outside counsel. Must have Degree from a top national law school and/or top 20% of graduating law school class. Member of any state bar in good standing is required. Should have 5 years of experience in information technology contracting negotiations through relevant law firm and/or in-house positions. Practical approach to drafting and risk analysis is required. Preferred experience/attributes include: In-house legal experience (ideally technology, CPA, consulting or other professional services firm experience). Procurement and sourcing business experience. CPA background. Experience with data security and privacy laws and agreements, including GDPR, Canadian and US (CCPA, HIPPA, GLB, CAN SPAM, state privacy statutes, etc.)..
