Associate Contracts Counsel

Associate Contracts Counsel Responsibilities: Collaborate with business functions across the organization to draft and negotiate a wide variety of contracts including but not limited to master service agreements and work orders, consulting agreements, distribution, manufacturing and supply agreements, change orders and amendments, CDAs and other agreements common to a commercial pharmaceutical company; Manage the company's contract workflow processes, including systematic reviews of templates and playbooks, to incorporate best contracting practices and provisions; Communicate and present information to internal clients about all contract-related matters; Identify legal risks and issues in contract proposals, and suggest practical alternatives that accomplish business objectives while mitigating the identified risk; Develop and implement improvements to the contracting process and ongoing contract compliance; Monitor agreements throughout the contract life cycle for appropriate approvals, expirations, renewals, etc.; Advise internal teams on corporate contracting and procurement processes and make recommendations based on company policies and standards; Works with Legal department colleagues, Finance and other business functions to ensure that the overall procurement process is in compliance with legal requirements and industry best practices; Conduct trainings on contracting and procurement process, as appropriate; and Work on other legal projects as needed.

Experience: J.D. from an accredited law school required. Admitted to practice in at least one state, preferably CA, and in good standing. At least 5 years combined relevant professional experience in a law firm and/or in-house, with significant experience at a biotech or pharmaceutical company. Strong strategic and critical thinking skills, with the ability to effectively identify and mitigate legal and compliance risks. Ability to Independently draft, negotiate, and administer contracts. Experience establishing and administering effective and efficient Contract Management systems. Ability to work successfully towards strict deadlines, as well as independently on multiple, simultaneous assignments. Effective communicator with diverse audiences, including senior leaders, in a manner that generates confidence and support for legal guidance and recommendations. Able to develop close, trusting relationships across the business, characterized by a high-level of collaboration and mutual respect. Strong verbal and written communication skills, including ability to give compelling trainings and presentations to internal and external audiences. PC literacy required; MS Office skills (Outlook, Word, Excel, PowerPoint).
