Corporate Counsel, M&A and Securities The candidate serves as the primary point of contact for all General Managers and property executives and corporate level functions on all legal issues except human resources/labor unions, litigation, and compliance/licensing. Responsible for the legal involvement, along with the Vice President and Deputy General Counsel, in acquisitions, development projects, sports betting and other strategic transactions, including but not limited to drafting, negotiating, executing and managing a broad range of complex commercial agreements involving corporate and property matters. This includes to brick and mortar properties, online and retail sports betting (Barstool Sports), and interactive sections of the business. Assists in public company compliance with federal securities laws and related matters, including but not limited to the preparation of periodic reports, proxy statements and other required filings. Provides practical legal advice and counsel in a timely fashion to Executive leadership. Assists in evaluating all outside counsel. Serves as a liaison between Company and outside counsel as needed. Responsible for preparing, monitoring and adhering to budgets and ensuring compliance to departmental budget initiatives. Reports budget concerns / deviations to the Executive Management. Enthusiastically supports, actively promotes, and demonstrates superior customer service in accordance with department and company standards and programs. Ensures customer service standards are followed by all team members and addresses issues as they arise. Responsible for ensuring the compliance with all regulatory compliance within area of responsibility and reporting potential issues to Executive Management. Maintains strict confidentiality in all departmental and company matters. Will report directly to the Vice President and Deputy General Counsel.

The candidate should have Law Degree from accredited college or university required. Minimum of 10 years of significant corporate transactional experience gained in both major law firm and in-house settings. Public company or corporate law department experience is a plus. Must have experience in commercial transactions, particularly with respect to mergers and acquisitions, joint ventures, partnerships, and real estate development, including negotiating, documenting, executing and managing complex and varied acquisitions and strategic transactions, a broad range of commercial agreements, and financings. Should have ability to read, analyze, and interpret, financial reports, and legal documents. Must have ability to recognize the business consequences of legal advice. Ability to work independently, identify problems, collect data, establish facts, and draw valid conclusions is required. should have ability to write memorandums on complex legal issues and business correspondence. Must have excellent organizational skills and be detailed oriented. Must have excellent communication skills, verbal and written and have the ability to interact with guests, staff and colleagues and resolve problems and conflicts in a diplomatic and tactful manner. Must have the ability to present information and respond to questions from top management, public groups, and/or boards of directors. Must be proficient in Microsoft applications (Excel, Word, PowerPoint, Internet Explorer, Skype, and Outlook).
