Corporate Counsel - Procurement Responsibilities: Provides strategic advice and serves as liaison counsel primarily to Global Procurement & Supply Chain functions. Provides legal services to protect the best interests of the company as well as its integrity, reputation and assets, while ensuring the business operates and contractual terms are in compliance with applicable laws and policies. Applies experience and expertise to procurement and other commercial transactions and matters to include: day-to-day counseling, advising stakeholders of potential risks and proposing practical risk mitigation strategies, providing creative legally sound solutions for resolution of disputes with commercial business partners, and identifying, developing and implementing strategies to manage risk. Partners collaboratively and cross-functionally with various teams effectively and professionally throughout various levels of the global organization on matters and ensuring leadership of the law department and the company is properly and timely informed about legal issues and risks facing the business. Drafts, structures, negotiates and reviews a wide range of commercial and vendor agreements such as direct/indirect supply agreements, technology agreements, professional services agreements, consulting agreements, confidentiality and other business and legal agreements and documents. Identifies, creates and develops commercial models including defining and drafting terms as well as contract templates. Retains and manages outside counsel, budget and provides metrics and reporting as necessary. Identifies legal training needs and requirements, particularly related to contracts and commercial transactions, assisting with the development and delivering of training as necessary. Performs legal research as needed. Supports other areas as needed or assigned. Maintains regular and punctual attendance. Maintains company quality and quantity standards. Adheres strictly to safety requirements.
Qualifications: JD Degree from an ABA-accredited law school, licensed to practice law in one of 50 states. 5+ years' transactional legal experience at law firm or corporate setting, preferably in the life sciences industry. Experience with contract negotiation and drafting commercial and business agreements including master agreements, short and long term agreements and complex multi-party transactions. Experience and participation projects to reduce costs and improve processes, communicating effectively to internal and external stakeholders, and drafting and implementing procurement policies and procedures. In-depth knowledge of contract law and procurement, policies and procedures, as well as good working knowledge of compliance regulations governing the life science industry. Good business acumen and familiarity with global market and regulatory landscape affecting IT and non-IT vendor agreements including knowledge of data privacy and protection laws. Strong track record of direct client interaction and advice, providing both long-term strategic advice and relative to daily activities. Success in management of relationships with suppliers and internal clients through communication, performance metrics, change management and consensus building. Demonstrated history of excellent management skills and legal judgment showing a capacity to make decisions and provide advice that demonstrates an understanding of overall business objectives. Previous experience researching, writing and communicating effectively with a non-legal audience in a manner that conveys standard contracting and commodity terminology, procurement polices and procedures, action plans and other ideas and information.
