VP/Corporate Counsel The candidate's position will include transactional, advisory and compliance work. Will report to the EVP Capital markets and Strategic Opportunities. Will work across the commercial enterprise providing legal advice on a broad range of topics. Includes drafting and reviewing business critical agreements, negotiating and providing advice on corporate governance, IP, privacy and data security, human resources, and real estate acquisition matters, and ensure compliance with timeshare and promotional marketing laws, rules, and regulations. Duties and Responsibilities: Provide day-to-day and mission-critical legal support of the company's business operations. Drafting, reviewing, and negotiating contracts. Draft and maintain intercompany agreements. Identifies and participates in the definition and development of policies, procedures and programs which address areas of risk and ensure compliance with the law. Educates senior managements on risks and mitigates risks through implementation of appropriate measures such as the careful review, negotiation, drafting and administration of agreements and other legal documents. Manage corporate policies and procedures, standard terms and conditions and the corporate compliance functions. Be the legal representative for the company in important matters, including mergers and acquisitions. Provide regulatory advice and maintain corporate formalities of company entities, and prepare organizational documents and corporate actions. Advise and oversee data protection and privacy matters. Maintain working knowledge of changes to legislation which impact company policies and processes, including timeshare operations and promotional marketing programs. Make recommendations for process changes to ensure compliance. Address regulatory issues and compliance policies and procedures with outside counsel where appropriate. Manage outside legal counsel on other matters. Provide advice and support in a wide array of practice areas and special projects as needed. Other duties as assigned. Should have a strong understanding of real estate and timeshare law and will have extensive experience in drafting and negotiating agreements and preparing and supporting compliance of promotional marketing programs. Must be a graduate of an accredited United States law school with a bar admission in good standing. Timeshare experience a must. 3-5 years of significant and substantive experience practicing business/corporate/real estate law; in-house preferred. License to practice law in the State of Florida required. Timeshare compliance and overseeing compliance with promotional marketing laws and regulations preferred. Experience partnering with senior management to understand their needs and to develop strategies to meet company needs.
