Legal And Compliance Counsel The candidate will be responsible for: Monitor, review and evaluate compliance issues/concerns within the Credit Union to ensure they are being appropriately investigated and resolved. Draft, review and negotiate transactional documents, including contracts for service, settlement agreements and licensing agreements, among others. Analyze and provide recommendations to the SVP of Legal and Compliance and Executive Management on the legal and reputational risks of potential strategic initiatives and goals. Assist with the closing of various lending transactions including reviewing required due diligence, filing security interests relating to existing and new loan customers, drafting loan documentation and correspondence, filing various documents with governing agencies, and otherwise assisting business units as needed. Provide guidance on pending and potential litigation including but not limited to debt collection, bankruptcy filings and other claims brought against the credit union. Develop working knowledge of significant credit union compliance matters and rules and regulations governing data security and consumer privacy. Provide legal oversight of issues related to the Credit Union's risk management and vendor due diligence programs. Where appropriate, develop solutions to help mitigate identified risks. Bring general legal issues and concerns to the attention of the VP of Legal and Compliance and, where appropriate, Senior Management. Work with departments to assess the compliance implications resulting from changes made to policies, processes and procedures. Assist with the development of new policies and procedures where needed. Serve as a resource for staff's general legal and compliance questions and concerns. Keep abreast of, monitor and analyze developing trends and changes in regulatory compliance laws, rules and regulations, and assist in the determination of operational impacts and the development of implementation plans. Perform other legal, compliance and risk management work as assigned by the VP of Legal and Compliance. Must have J.D. degree from an accredited law school and licensed to practice law in the State of North Carolina, 3+ years of related legal experience in a law firm, business or non-profit organization. NAFCU Certified Compliance Officer designation or obtain within 1 year of hire. Must have excellent analytical skills and ability to conduct thorough research, interpret and understand laws, regulations, risk management standards and best practices, and provide workable recommendations and solutions. Should have ability to communicate clearly, concisely and professionally both orally and in writing with all levels of staff and management and maintain a high degree of confidentiality.
