Corporate Counsel The candidate reports to Chief Executive Officer. Will ensure that company operates within the law at all times, offer counsel on legal issues, create an effective guardian of the organization and facilitate business strategies development. Will be able to ensure legal compliance and limit risk exposure. Will oversee and manage all company legal and compliance related matters. Will also provide ongoing day-to-day support to the company's domestic and international operations as needed and reporting directly to the CEO. Will also provide ongoing legal guidance protecting the company's domestic and international operations on a broad spectrum of corporate and commercial matters, including rental contracts involving engineering, procurement, project/construction management contracts, supply and sales agreements, antitrust, marketing, licensing requirements, technology, trademarks and branding, litigation, trade compliance, and regulatory matters. Should offer significant first-chair experience that includes substantial experience with international commercial transactions and should include compliance experience with Foreign Corrupt Practices Act and other compliance regimes. Must be able to lead meetings, make presentations to large groups, conduct trainings, sensitivity workshops, work independently and seek advice as necessary. Must be capable of supervising other employees (as necessary) managing and multitasking a variety of projects and must show strong interpersonal and leadership skills. Providing expert and strategic legal advice to management and board of directors. Set internal governance policies and manage the impact of external factors. Evaluating and weighing multiple inputs and impacts of any decision or course of action. Provide expert and strategic legal advice to all operational business units. Attract, develop, direct, motivate and drive performance from team. Review RFPs and Draft contract agreements that minimize risks and maximizes legal rights. Meet legal objectives to protect the company, its mission and its employees. Deal with complex, significant matters that cut across legal and related areas. Keep abreast of regulatory and legislative changes that impact the growth of the company. Proven general counsel experience in a corporate business environment. Overall broad legal knowledge (corporate law, litigations, labor law, compliance etc.). In-depth understanding of how legal issues affect organizations. Law Degree from an A.B.A. accredited law school and licensed to practice law in at least one US based jurisdiction, preferably with admission Florida state Bar. Have 10 years of executive level experience as a current or former corporate counsel in good standing with the American Bar Association (ABA), with extensive experience in international transactions, risk management, contracts and operations. Fluency in Spanish or another foreign language and a current or prior foreign posting is preferred.
