Corporate General Counsel The candidate will advise executives and senior management on various matters. Manage the organization's legal matters. Respond to legal requests from various departments. Identify proactive solutions that will eliminate or mitigate risks. Keep abreast of legislative changes. Assist in real estate financings and bulk property acquisitions. Manage leasing agreements. Draft agreements such as employment and vendor agreements. Maintain knowledge of organization's entities and operations. Conduct legal research and review the company's litigation strategy pertaining to legal actions. Research and analysis into proposed laws and regulations. Preserve all corporate records. Handle statutory filings, such as licensing forms as the company expands into additional regions. Liaising with outside counsel regarding their assignments. Creating new entities and managing the organization's intellectual property. The candidate should have Juris Doctorate degree from accredited law school. Should have 15+ years of experience practicing in corporate, investment, and/or real estate as either in-house counsel or law firm with 5-10 years prior General Counsel experience including corporate governance with prior Board and management experience (private or public company). Broad legal subject matter expertise. Sound judgment and the ability to evaluate options fairly. Absolute integrity. Ability to think intuitively from learned experience. Ability to develop legal strategies and objectives. In-depth understanding of how legal issues affect organizations. Proficient legal experience in fund investments, venture capital financing, and M&A preferred. Excellent communication skills. Knowledge of statutes, rules, and regulations pertaining to businesses. Proficient understanding of business sensitivities and confidentiality.
