Corporate Counsel The candidate will handle regulatory disclosure matters related to our mutual funds and ETFs, as well as to support the boards of directors that oversee the funds. Will draft, edit and review registration statements on Form N-1A and related documents, including annually updating each fund s summary prospectus, statutory prospectus and statement of additional information (SAI), and drafting and/or reviewing prospectus and SAI supplements as required. Collaborate with Investment Management and Compliance to draft disclosures for new funds and coordinate the production and EDGAR filing of registration statements and associated documents. Interpret investment company disclosure requirements and related issues under the federal securities laws. Review shareholder reports and other regulatory filings, such as Forms N-CSR and N-CEN. Guide various departments throughout the company with respect to regulatory disclosure issues, investment policies and restrictions, the development of new products, and regulatory and legislative changes that impact the funds. Coordinate with, and respond to comments from, the SEC Staff regarding various fund disclosure issues. Aid the scheduling, coordination and execution of board meetings and interim communications with directors, counsel and other constituencies. Participate in producing and electronic posting of board meeting materials, preparing meeting minutes and maintaining corporate records. Prepare proxy statements in connection with shareholder meetings for American Century funds and supervise proxy campaigns from a legal perspective. Conduct legal research and participate in special projects. The candidate should have Juris doctor degree from accredited law school. should be member in good standing of at least one state bar association. Must have 3 - 6 years as a securities attorney at a law firm or financial services company with understanding of the Securities Act of 1933, Securities and Exchange Act of 1934 (required) and the Investment Company Act of 1940 (preferred). Should have Strong analytical, organizational and project management skills. Should be highly motivated self-starter who thrives when challenged, sets priorities, plans, coordinates and meets commitments independently and with minimal direction.
