Associate Corporate Counsel Duties: Evaluates Federal, state and local healthcare laws, rules and regulations in support of the company's software opportunities. Works with different levels of personnel within the organization to analyze and solidify an overall healthcare strategy. Educates various personnel within the organization on existing and proposed healthcare laws and regulations. Monitors healthcare legal compliance. Deals with a wide range of legal activities including contract law, corporate governance, government acquisition, intellectual property, and human resource legal matters under the direction of the corporation's General Counsel. Works with third party legal specialists on a national basis. Analyzes and mitigate risks. Research and evaluates of existing Federal, state and local healthcare laws, rules and regulations Supports and, if necessary, negotiates various contracts on behalf of the corporation Prepares and files government reports Drafts legal documents Reviews new business relationships with vendors and subcontractors Analyzes legal issues relating to proposed products Structures joint activities with other organizations Maintains an audit file for each contract which includes original contract, all correspondence, changes/deviations, amendments, clarifications and payment schedules. Prepares and disseminates information to appropriate employees regarding contract status; facilitates contractor meetings. Provides contract summaries and ensures contract execution in accordance with company policy. Ensures that corporation is in compliance with contractor legal requirements, owner specifications and government regulations. Tracks payments and deadlines as needed. Guides managers on regulatory and compliance matters. Administers legal training workshops. Supports and reviews for content Human Resources in the formulation of employee handbooks. Providing supervision to outside lawyers hired to assist the corporation with their specialized legal services. Represents the corporation before administrative boards and court trials. Performs closing activities as assigned.
Qualifications: JD Degree or equivalent. Member of the Bar of home state. Desired: Any certifications or advanced training in the area(s) of concentration Years of experience in a similar role: 2+ years in a similar role. Desired: 3+ years in a similar role. Is skilled in research, writing and negotiation. Is aware of laws and regulations that apply to United States government contracts. Is well-versed in various templates, wording and clauses that characterize good contracts. Desired: Is well-versed in corporate law with an emphasis in Contracts Law.
