Senior Counsel - Contracts Duties: Research, draft, review and negotiate, and advise on a wide range of complex commercial contracts, including various services, equipment purchase, outsourcing, technology (e.g., cloud computing, SaaS, digital media, application and software development, licensing), transportation, supply chain and manufacturing agreements. Work closely with key business partners, legal team members, outside counsel and others as necessary to gather facts and information, assess legal risks, and provide strong advice to protect the Company's interests and help ensure successful commercial relationships and outcomes. Assess legal risks associated with business transactions, initiatives and operations, escalate internally as appropriate, and make pragmatic, insightful and timely recommendations to address those risks. Provide practical education and training to business partners to ensure awareness of applicable Company policies, including the Contract Review Policy, contracts and the contract lifecycle, business accountability, and role clarity in collaborations. Provide regular guidance and training to attorneys, paralegals and other members of the Legal Division regarding contracts law and related legal matters, as well as Contracts Review Policy and related polices and procedures. Stay current on developments in contracts law and areas of the law relevant to the Company including supply chain, manufacturing, direct sales, digital media, software, SaaS, technology and data privacy. Support other legal projects, duties and responsibilities as assigned.

Qualifications: Bachelor's degree and law degrees (LL.M / JD Degree) from an accredited institution and admission to at least one State Bar with the ability and willingness to be admitted to the State Bar of Texas upon request. 6+ years of legal experience in-house and/or with a law firm drafting, reviewing, negotiating, and advising on a variety of complex commercial agreements . Requires excellent interpersonal and communication skills, tact, diplomacy, and a high level of professionalism in order to interface with outside and opposing counsel, all levels of management, independent sales force, and government officials. Must possess sound decision-making skills as well as excellent organizational and analytical skills, and the ability to handle tense situations head-on. Must have strong negotiation skills with a proven track record of successfully negotiating large, complex deals and ensuring business interests are skillfully and strategically protected and represented. Proven dispute resolution skills are required to resolve issues, advise others, and settle claims. Requires detailed knowledge of commercial contracts terms. Ability to interact effectively with senior management and has a successful track record as both an advisor and business leader Excellent oral communication skills are required to effectively interact with both internal and external contacts, coordinate legal activities, advise on legal matters, and formulate policy recommendations. Strong written communication skills required to draft documents, make recommendations, and communicate with both internal and external customers Preferred: Some litigation and dispute resolution experience related to commercial contracts, as well as strong experience with technology agreements. Should be a self-starter, curious, resourceful and a strong leader with a sense of humor. , The ability to work successfully in a high-paced environment, multi-task and get work completed with a sense of urgency and timeliness is required.
