Corporate Counsel Responsibilities: Draft and negotiate technology agreements, including software as a service (SaaS) agreements and software license agreements. Work with partnership teams to negotiate and document partner/distribution relationships. Negotiate ancillary agreements, such as NDAs, privacy agreements and security agreements. Review and revise various form agreements. Collaborate with internal business partners and other members of the legal team on the review of products, services and initiatives to assess legal compliance, negotiate related legal agreements and provide practical advice. Support and build positive relationships with various business partners including sales, marketing, product, engineering, security and support and advise those business units on legal issues they may face through product development and the sale and marketing of products.
Qualifications: Juris Doctor (JD) degree or similar. Licensed to practice (and in good standing) in at least one state in the United States. 4-8 years relevant post-law school experience. Experience with contract negotiation, interpretation, and administration. Excellent business acumen, well-developed problem-solving abilities, high emotional intelligence. Strong work ethic, a hands on mentality, accountability, and the ability to work in an extremely fast-paced, ever-evolving business environment while juggling and prioritizing multiple projects at the same time. Desire to take on greater responsibilities as skills are developed. Experience at a top regional, national or international law firm is preferred. Previous technology transactions experience is preferred. Knowledge or experience in data security and privacy is preferred. Knowledge of or experience with website security industry is preferred.
