Corporate Counsel, Corporate Affairs Duties: Lead all areas related to securities law matters and related compliance, including developing and maintaining policies and procedures to ensure compliance with the SEC and other securities-related regulatory requirements; Stay abreast and advise on the potential impact of new and proposed securities law developments, market trends, and best practices to ensure continued compliance; Develop and deliver employee trainings on securities law and related matters; Advise on investor relations matters, including the review of and collaboration on materials associated with annual stockholder meetings, as well as earnings announcements and scripts, press releases, investor communications, internal communications, and other materials; Draft and negotiate a variety of strategic corporate transactions on an as-needed basis, including occasional M&A activity and financings, and certain workstreams related thereto; Build close relationships with employees at supported business departments and develop a strong knowledge of the objectives of those departments; Assist the General Counsel & Corporate Secretary on various corporate secretarial matters, including preparation of notices, agendas, materials, and minutes for the Board of Directors and Committee meetings; Lead or assist the Legal Department's efforts in the preparation, implementation, and refinement of forms, processes, and procedures relevant to areas of coverage; Manage outside counsel in all appropriate areas of coverage; and, Perform other special assignments, strategic projects or duties as needed.

Qualifications: JD Degree from a top law school; Must be admitted, active, and in good standing with the State Bar of Wisconsin (or with another state bar and registered, or eligible to register, as in-house counsel with the State Bar of Wisconsin); 3+ years of relevant experience as a general corporate, securities, and governance attorney, preferably with some of that time spent in-house at a public technology company in roles of increasing responsibility; Broad and deep expertise in corporate and U.S. securities laws, investor relations, mergers & acquisitions, and corporate governance matters, including best practices; Familiarity with accounting, tax and finance processes, terminology, systems, and issues, including a basic knowledge of financial statements, GAAP accounting, and tax matters preferred;. Excellent oral and written communication skills and interpersonal skills;. Demonstrated ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment with a passion for results;. Sound and practical business judgment;. Ability to work both independently and cross-functionally with various teams across the organization in a team environment, including Finance and HR;. Eagerness for learning new areas of law and expanding legal and business skill sets; and,. Passionate about technology and energized by the challenges of serving a dynamic, hyper-growth company.
