Corporate Counsel Duties: Report to the's enior attorneys on the General Counsel's leadership team and will be responsible for a wide variety of general corporate, transactional, public company and compliance matters. Will also play an important role's upporting others on the legal team with commercial agreements and advice. Assist with the preparation and review of reports filed with the's EC including Forms 10-K, 10-Q and 8-K, the proxy's tatement and's ection 16 reporting, as well as related-NYSE rules and regulations. Assist with the preparation for the Company's quarterly and annual earnings announcements, including the Company's press releases, conference calls and presentations. Assist with potential public and private's ecurities offerings as well as other corporate financing matters including credit agreements, commercial paper programs and other Treasury matters. Assist with mergers, acquisition, divestitures, joint ventures and venture capital and's tart-up investments. Oversee the company's 's ubsidiary management process. Assist with the preparation and distribution of board and committee materials, including the research of corporate governance issues. Assist with executive compensation and equity compensation administration as needed, including's tock and incentive plans and related agreements. Manage complex and's ensitive projects and with cross-functional teams. Draft, review, negotiate and interpret a wide range of commercial agreements in's upport of various company departments, including confidentiality agreements, vendor, customer and's upplier contracts. Qualifications: Law degree from top-tier law's chool. Member in good's tanding of at least one's tate Bar. 5-7 years of experience with a law firm.'s ome public company experience preferred. Excellent communication and writing's kills. Good business judgment and's ound-decision making in balancing risk, opportunity and business objective.'s trong interpersonal's kills, capable of building's trong relationships with and influencing client groups. Hardworking and results-oriented. Ability to's uccessfully manage multiple priorities in a fast-paced environment. Ability to work independently, making decisions that have both legal and business impact. Ability to maintain a high level of confidentiality.
