Corporate Counsel Duties: Serve as core member and trusted advisor to the company's senior leadership team and business units, providing counsel on issues of strategic importance and contributing to the company's overall planning process. As a direct report to the Company's Chief Financial Officer serve as company's first in-house legal counsel and sole gatekeeper of all current internal and external legal work. Manage all aspects of legal, risk management, and corporate governance. Maximize effectiveness of all company legal activity while minimizing external spend on legal matters. Monitor and manage exposure to current and potential litigation, recommend actions including settlement where appropriate to reduce overall financial and reputational costs. Primary stakeholder in the administration of risk mitigation policies and strategies as it relates to contractual arrangements and insurance coverage. Management of outside counsel as required. Audit and review existing contracts for key commercial, legal, and risk terms. In depth analysis of all business units to determine key supplier and customer relationships that should be contracted. Manage process of contract implementation in coordination with senior leadership team and various business units. Negotiate basic legal and risk items in standard contracts and purchase orders across all companies - standard contracts include: Motor carrier contracts, Dockage and services agreements, Contractor agreements, Purchase agreements, Sales agreements, Various service agreements. Counsel with real estate department on various transaction documents and agreements related to company real estate closings. Title review of properties. Supervise organization and completeness of real property records. Supervise entry of contracts into contract management database. Develop standard process to capture meta data to allow for effective contract management. Leverage contract management system to develop notification process to ensure timely required actions on contracts. Design and implement contract approval process. Work with insurance resources to develop acceptable contract terms (preferred and minimum) on indemnifications, insurance requirements, and limitation of liability. Develop process to track compliance with insurance requirements from contracts or general operations (i.e. access to property and contractual requirements). Manage ongoing compliance with insurance requirements from counterparties. Advise senior leadership on exposures based on operations and current legal environment to help quantify required insurance covers. Manage outside counsel on all external litigation efforts with a goal of maximizing representation and minimizing legal spend. Work with environmental, health, and safety department (EHS) and business units to monitor existing claims and litigation. Provide guidance to EHS and CFO around legal strategies of outside counsel and proposed settlements. Work with CFO on review and negotiation of M&A documentation. Member of diligence teams with respect to contract review and regulatory compliance. Significant involvement in documentation of commercial business arrangements. Manage bankruptcy filings and collections efforts, including obtaining judgments, asset searches, and garnishment efforts. Review and approve corporate guarantees.

Qualifications: JD Degree from accredited law school. Active member of the Georgia Bar 6-8 years of experience working on a variety of general commercial matters. Insurance experience preferred. Real estate and contract experience preferred.
