Legal Counsel - Real Estate & Commercial Contracts Duties: Focusing primarily on real estate matters related to Wendy's US restaurants, responsibilities will include support for development, new leasing and amendments, purchase/sales, construction, remodeling, condemnation/eminent domain, litigation, acquisition/disposition activity, and environmental matters. Will also support marketing, technology and general corporate contracts throughout the Company. Will engage with Franchise Development Team and assist with franchise-related transactional documents, transfers, and work-outs. Will have the opportunity for intra-legal department collaboration with Director - Global Real Estate Counsel, Associate General Counsels and support from paralegals, and will have significant internal cross-functional client interaction throughout the Company. Draft and negotiate leases and lease amendments, purchase agreements, subleases, easements and other real estate documents. Perform/oversee due diligence (title, survey, environmental and other transactional contingencies/requirements) pertaining to new development of Company and Franchise restaurants, remodels, renewals and other matters in the US, and support Real Estate Dept./Portfolio Management needs during life cycle of occupancy or ownership. Manage real estate litigation matters, condemnations/eminent domain, environmental and construction matters. Review, provide legal advice, and negotiate a wide variety of commercial contracts and general corporate contracts throughout the Company, such as confidentiality agreements, purchase agreements, brand licensing, technology license agreements, data protection agreements, and service agreements, across a wide variety of topics. Support of Franchise Development Team and other partners as-needed.

Qualifications: JD degree from top tiered law school. Top 20% of Law School class preferred. Admitted, in good standing, to the Ohio Bar (or other state Bar). 2-3 + years working as commercial real estate or commercial contracts attorney with at least some law firm and/or in-house experience. Experience in technology agreements, licensing or intellectual property agreements, and/or data protection agreements preferred. Customer-oriented, collaborative, and able to make independent decisions and use own judgment within company guidelines. Demonstrated skill in disciplined execution. Able to achieve goals among competing priorities and deadlines with high attention to detail. Proficient in Microsoft Office Suite of products, including Word, PowerPoint, Excel, and Outlook. Excellent written and oral communication, including persuasive and constructive feedback skills.
