Assistant General Counsel - Commercial, IP, and Privacy Duties: Oversee the company's Contracting Center of Excellence, which includes implementation of the company's contract lifecycle management technology and the establishment and/or improvement of standard form agreements and legal processes, including developing training, templates and other self-service tools for business stakeholders. Direct and oversee legal professionals assisting with the same. Structure, review, draft and negotiate both domestic and international projects, proposals, subcontracts and ancillary documents, including ensuring adherence with revenue recognition guidelines. Direct and oversee legal professionals assisting with the same. Draft, review, revise and negotiate a wide variety of commercial agreements, including global sales agreements, terms of sale, software licensing agreements, engineering agreements, logistics agreements, payment processing agreements, manufacturing and procurement agreements, marketing agreements, vendor and supply agreements, and a wide variety of other contracts. Direct and oversee legal professionals assisting with the same. Oversee the company's Intellectual Property Center of Excellence with responsibility for managing the company's intellectual property matters, including patent, trademark, and other filings and litigation related to the Company's intellectual property. Oversee outside counsel assisting with the same. Oversee the company's Data Privacy and Cybersecurity Center of Excellence, including providing advice and counsel in the areas of global privacy and data protection, regulatory compliance, trade and customs compliance, and cybersecurity compliance. Provide transactional support on a global basis for a variety of business functions, including Sales, Marketing/Digital, IT, Real Estate, Supply Chain/Logistics, Production, Finance, and HR. Implement, monitor and support corporate and commercial policies and procedures. Build relationships with business partners by providing timely, concise, and commercially focused legal advice. Assist with legal department administrative functions to include legal budgeting and timely auditing and allocation of all legal expenses, tracking and reporting, significant item reporting and internal investigation reporting. Other job duties as assigned by the SVP, General Counsel and Corporate Secretary.

Qualifications: JD Degree from an ABA accredited law school, excellent academic credentials, and an active license to practice law in Texas. 10-15 years ? experience at a law firm and/or in-house. Experience with an international public company and familiarity with global business practices is preferred. Exemplary negotiating and drafting skills for a wide range of commercial contracts. Expertise in managing a complex intellectual property portfolio. Expertise in managing a global data privacy program. Strong organizational skills and ability to effectively balance competing demands under time pressure in a changing, fast-paced environment. Ability to make decisions and operate independently to evaluate legal risks and provide practical, business-oriented solutions. High proficiency in Microsoft Word, Excel, and PowerPoint.
