Lead Counsel & Compliance Officer Americas Duties: Responsible for all legal and compliance matters in the Americas region. Key player in the definition of the Legal, Compliance & Human Resource strategy, in alignment with strategic and business objectives and HQ. Advising executive, senior management and board on various matters such as legal rights new and existing laws. Responsibility for all relevant Compliance topics (e.g. Business Partners, Training, Advisory) for our Flender Entities in the US and Chile. Roll-Out of Compliance Trainings (in-person and WBT). Compliance support and advisory of relevant Flender Legal entities. Business Partner Management and Monitoring. Compliance case management and support in Compliance investigations. Directly Lead Human Resource Function (1-2 Employees). Serve as Corporate Secretary for. Make people development, succession planning and diversity an absolute priority. Managing organization s legal matters. Examining and creating draft agreements, Terms & Conditions & all contracts. Maintaining knowledge of organization s operations and legal documents. Conducting legal research and reviewing company s litigation strategy pertaining to legal actions. Handling statutory filings, such as licensing forms. Managing outside counsel regarding their assignments.

Qualifications: JD Degree from accredited, top-tier law school. 4+ years practice with an established law firm or an international company. Experience with corporate governance issues and corporate secretarial duties. Experience in fraud and risk management. Proficient in U.S. Employment law & regulations. Ability to create & implement employee Human Resource, Legal & Compliance Policies. Good analytical and drafting skills, organized and committed to deadlines. Excellent verbal and written communication skills. Knowledge of statutes, rules and regulations pertaining to businesses. Proficient understanding of business sensitivities and confidentiality. Expert in Uniform Commercial Code & US Contract Law. Strong intercultural sensitivity, effective collaboration skills and ability to work with teams and stakeholders around the globe. Fluency in the English language required, additional languages a plus.
