Legal & Compliance, BTO/BXG Transaction Attorney, AVP/ VP Duties: Advise on NDAs. Review and provide comments to bid letters, term sheets and related bid documentation. Review and provide comments (including on calls with deal team/outside counsel) to transaction documents and related issues lists. Advise on transaction-related legal, structuring and regulatory matters (e.g., antitrust, financial regulatory, section 13 and 16 compliance). Participate in transaction negotiations, when necessary. Liaise with operations, tax, fund and compliance teams on a variety of matters, including signing and closing process, regulatory matters and LP and co-investor matters. Conduct material non-public information analysis in connection with trades of public securities. Portfolio Company Support:. Provide legal support to asset management team (e.g., portfolio company litigation and employment matters). Liaise with government relations and public affairs teams on portfolio company-related matters. Participate in team meetings and investment committee meetings. Liaise with government relations and public affairs teams on transaction-related matters. Advise on outside counsel selection. Qualifications: Must have a JD with primary experience in M&A to join a legal team doing challenging work in an extremely fast-paced environment. 3-6 years experience preferably, which includes experience at a major law firm. Would be a part of a highly collaborative, global legal group and would interact closely with the firm's investment teams. Ability to be proactive in new situations, and to manage projects and third parties, including outside counsel, is important. Must be willing to roll up sleeves and work with a variety of personalities.
