Corporate Counsel Duties: Overseeing and assessing diligence on M&A deals, preparing due diligence memos, and drafting and negotiating purchase agreements with the guidance and support of other lawyers. Drafting and negotiating contracts for technology, services, marketing and advertising, purchasing, and supply, in such a way that business colleagues with a range of sophistication and experience can comply with and use the contracts in a self-serve manner, as appropriate. Training sales teams to enhance their working knowledge of contract risk management issues and mitigation paths over time. Drafting sweepstakes, promotions, marketing programs, and rules and terms as needed for the business. Assessing risks and remedies in disputes ranging from contract, product liability, dealer protection and dealer network disputes. Working with outside counsel as needed. Maintaining excellent relationships with internal clients and colleagues to be a valued member of the Deal Team.

Qualifications: A JD Degree from an accredited United States law school and membership of the State Bar of any U.S. state. 1-2 years of work experience as an associate in a well-regarded national or regional firm, with corporate and M&A experience preferred. Solid work experience of representing mid to large clients. An ability to balance numerous short-term and long-term responsibilities, balancing them on a day-to-day basis as events require, but also achieving traction on long-term initiatives. The ability to command the respect of business leaders and outside counsel across a wide spectrum of experience and sophistication. Excellent interpersonal skills, with the ability to lead and influence. A self-starter attitude, comfortable working under pressure. An ability to engage in searching, critical discussion without personalizing outcomes. Unquestioned integrity and ethics in all dealings. The ability to work collaboratively and efficiently with business clients and legal colleagues. Able to manage multiple priorities, and be a clear communicator.
