Senior Corporate Counsel - Industrial The candidate will be gaining a solid understanding of firm's businesses, identifying appropriate legal strategies to facilitate strategic goals and minimize risks. Functioning as a strategic business partner who provides trusted counsel on legal issues considering both global and local requirements. Working with the business to negotiate, review, and draft transactional documents, contracts, and other legal agreements, such as complex strategic supply, distributor, purchase, service and real estate agreements. Handling dispute resolution, lawsuits, and arbitrations by providing advice and regular, clear communication of litigation issues and opportunities to the affected business and legal function. Assisting with mergers & acquisitions due diligence depending on the situation and background. Managing employment matters, providing counsel to the HR department on policies and procedures, handling employee relations, investigations and litigation. Willing to work on the smallest and simplest, as well as the most complex and matter, legal matters faced by the company. Will support Corporate Real Estate team across all areas of leasehold, tenancy, construction and ownership issues, including negotiations with third parties, and coordination with brokers, external consultants and outside counsel. Support the Digital Solutions / eCommerce team with expansion of global online sales and e-marketing channels while protecting the brand through execution of new supplier, channel partner or e-marketplace agreements, and establishing new country eCommerce sites. Advise global EHS team and around local EHS initiatives; provide legal leadership on pending regulatory examinations, investigations and enforcement actions; engage and direct outside counsel, as required. Participate in Global L&C projects and drive related America's implementation across the Company, including Danaher initiatives, DBS-related projects and L&C department action plans. Identify, retain, and manage external counsel in a cost-effective and efficient manner. Support L&C budget process, including monthly expense and accrual updates. 10+ years of relevant experience in either a law firm or as in-house counsel is required, preferably in one or more of the Pall Industrial markets that include microelectronics, aerospace, fuels, petrochemical, chemical, automotive and power generation required. Juris Doctorate with excellent academic credentials from an accredited law school required. Active bar membership in at least one US jurisdiction required. Fluency in either Spanish or Portuguese a plus. Experience with complex commercial and corporate transactions and operational work required. Experience in managing litigation, real estate and/or regulatory matters are a plus. Technology-savvy and proficient in all Microsoft Office applications required. Excellent interpersonal skills, professional maturity and confidence; comfortable dealing with all levels of the organization required. Excellent written and oral communication skills. Strong ability to communicate concisely with a wide variety of audiences, including senior management and key external partners and proven ability to engage, influence and align stakeholders required. Business-focused approach to recognizing needs, solving problems, anticipating issues required.
