Corporate Legal Assistant General Counsel

Corporate Legal Assistant General Counsel The candidate will provide legal counsel on executive compensation and employee benefits matters. Represents the corporation in administrative and regulatory forums. Selects and supervises outside counsel to assist with corporate initiatives, transactions and regulatory matters. Ensures effective communication and coordination between the corporation and outside counsel. Provides legal services and participates in development of corporate and enterprise strategies. Drafts, reviews, and interprets corporation contracts including vendor agreements, documents for real estate transactions, and agents' agreements. Drafts and reviews legal documentation for financial and investment transactions. Analyzes legal questions, conducts legal research, and advises all corporation divisions and levels of management. Performs all necessary and required legal-oriented duties to assure compliance with applicable laws and regulations. Reviews and advises the corporation on proposed and current legislation and regulations. Reviews and advises the corporation on policy forms and rate filings. The candidate should have a Juris Doctor. Admission to the State Bar in state where the job place is or eligibility for admission to the bar and obtaining admission within a year of hiring. Strong attention to detail is a must, as is experience with ERISA and defined benefit pension plans. Experience with the insurance industry, mergers & acquisitions, and startups are all a plus. Demonstrated experience providing customer-driven solutions, support or service. Ability to carry out legal duties with minimum of general supervision. Ability to interact with tact, diplomacy, and persuasiveness. Ability to provide practical legal analysis in complex and sensitive legal situations. High level of legal analytical skill, usually obtained through a minimum of five years legal experience. Valid driver's license required plus an acceptable driving record. This position requires travel up to 25% of the time. May need signing a non-disclosure agreement for proprietary information, trade secrets, and inventions. Back ground check required.
