Corporate Counsel

Corporate Counsel Duties: Draft and negotiate complex agreements and provide legal counsel on general commercial and transactional matters. Implement and support contract lifecycle management process. Advise the business on legal implications of domestic and international privacy and data-related laws and regulations. Ensure company policies, procedures, agreements and practices comply with all regulatory requirements. Draft, develop, and implement legal- and compliance-related policies, procedures, forms, notices, and guidelines necessary to meet applicable requirements/standards. Perform general legal research, review and counsel for projects and strategic initiatives. Support internal investigation and complaint handling process. Manage effective relationships with outside counsel. Identify existing and potential legal and regulatory risks related to services, products and business activities, assess the likely impact of such risks, and propose solutions to address those risks. Collaborate with the General Counsel on compliance matters and enterprise risk management. Support intellectual property portfolio, including trademark application and protection processes. Partner with the business to recommend company policy and position on legal issues including determination of training needs relating to legal compliance. Provide training to the company on legal topics.

Qualifications: Bachelor's and J.D. degree from a recognized university is required; must also have a membership in good standing with applicant's State Bar. 7 years of corporate and/or professional law experience required; in-house counsel experience preferred. Experience with complex commercial contracts and contract lifecycle management. Experience with establishing data privacy or other regulatory compliance processes across an organization preferred; certification such as CIPP preferred. Experience dealing with large corporations and clients. Experience with software/technology and licensing, and/or financial services. Ability to handle multiple projects simultaneously and adapt to new demands and challenges. Highly collaborative with internal and external stakeholders and partners with the ability to lead and participate in cross-functional teams. Strong verbal and written communication skills including ability to influence associates, leaders and cross-functional partners. Decisive, and resourceful with strong negotiation skills on both legal and financial/commercial issues. Ability to work independently with minimal supervision. Ability to work through challenges using innovative approaches and solutions. Detail-oriented with a high degree of accuracy. Enthusiastic and energetic.
