Corporate Counsel The candidate will report to the Chief Business Officer. Work on a variety of corporate legal matters with a focus on M&A and general commercial matters and will work closely with the Company's senior management team, business development, and finance functions. Manage outside counsel. Draft and negotiate M&A transaction agreements and manage all legal aspects of acquisition transactions. Manage external counsel involved in capital raises from the credit partner side and counsel representing our team in the pursuit of preferential credit terms. Manage litigation, working closely with outside litigation counsel to secure desired results. Develop and review corporate governance materials. Assist HR with the development of policies and any employee litigation that may arise. Represent the company in high-level meetings with potential clients/investors. Anticipate issues and estimate risks strategically. Identify proactive solutions that will eliminate or mitigate risks. Draft agreements that minimize risks and maximize legal rights. Ensure that the company operates within the law at all times, offer counsel on legal issues, create an effective guardian for the organization, and facilitate the development of effective business strategies.
The candidate must have a J.D. degree with 5-12 years of experience as a corporate attorney in a large law firm or in-house. MA or BS in Business Administration will be considered an asset. In-depth understanding of how legal issues affect organizations required. General corporate and transactional law experience is required. Overall broad legal knowledge (corporate law, M&A, contract drafting/negotiation, regulatory compliance, etc.) required. The ability to develop legal strategy and objectives is needed. Must be well-versed in how a business operates with financial acumen. A high degree of professional ethics, integrity, and gravitas is needed. Excellent judgment and analytical skills required.
