Corporate Attorney The candidate will be involved in all facets of commercial work including outbound SaaS, inbound strategic technology and other supplier transactions, providing day-to-day advice, resolving issues that arise out of existing commercial relationships, working through data privacy, information security and regulatory considerations, including HIPAA and GDPR, litigation management and identifying opportunities for and implementing process improvements. Will also be able to think strategically and demonstrate sound and pragmatic judgment in a rapidly maturing healthcare technology environment. Familiarize with the business, our company's products, services and strategy. Be able to negotiate, interpret, draft and finalize Master Services Agreements and Statements of Work. Draft, review and negotiate NDAs, amendments, settlement agreements and terminations. Provide high-quality legal and strategic advice to a diverse client base such as business leaders and other subject matter experts to develop legal agreements, appropriate exhibits and policies which appropriately address the needs of the business and appropriately manage risk. Be able to fully draft and negotiate complex commercial technology transaction documents, including IP licensing, software-as-a-service, platform-as-a-service, content, co-marketing, media and white label services agreements. Be able to navigate nuanced HIPAA privacy issues arising between Firms and our sophisticated healthcare and employer customers and prospects. Be comfortable with the portfolio of current and pre-litigation matters and the strategy for each.
The candidate should have JD Degree. Must have 7+ years of combined experience working in both a law firm or in-house role focusing on technology, healthcare and privacy issues and complex commercial transactions as well as experience working in the technology transactions, corporate or IP groups of an AmLaw 100 firm. Must have outstanding analytical, negotiating, drafting and writing ability.
