Corporate Counsel - Corporate and Securities The candidate will prepare 1933 Act and 1934 Act filings (registration statements and reports), including S-8s, Section 16 reports, Forms 10-Q, 10-K and 8-K. Draft Proxy Statement and prepare for annual shareholder meeting. Support Investor Relations, Finance, Accounting, and Communications departments in meeting reporting and disclosure requirements. Provide counsel regarding, and assist with preparation and management of materials, minutes, resolutions, calendars and agendas for board meetings. Support Treasury department on financing matters, including credit facilities and bank guarantees. Advise on general corporate matters, including NYSE and local corporate law compliance, and subsidiary entity management. Provide advice and counsel to business leaders regarding a wide variety of commercial agreements, including customer and vendor contracts. Support corporate transactions, including mergers, acquisitions, joint ventures and other strategic transactions.
The candidate must have Bachelor's degree, law degree, and law license in good standing. Must have 5+ years practicing law with a strong law firm background. Some time working as in-house counsel for a public company could be helpful. Outstanding written and oral communication skills are required. Must have detailed understanding of applicable securities laws and day-to-day experience with same. Experience with M&A transactions and financing matters preferred. Must have strong business acumen and ability to understand business consequences of legal advice with a client-focused attitude.
